About the Role

The Associate General Counsel will play a key role in Republic’s Legal & Compliance division, providing expert legal advice on securities, blockchain regulation, and product structuring. Reporting to senior leadership, this role will draft, negotiate, and manage complex commercial and regulatory agreements while supporting the launch of innovative tokenized investment products.

The position requires deep familiarity with securities laws, FINRA/SEC regulations, and an interest in crypto law. This is an on-site role in New York City (four days per week in office).

Key Responsibilities

  • Draft, review, negotiate, and interpret a wide variety of commercial agreements.

  • Advise business teams on rules and regulations governing offerings conducted through funding portals and broker-dealers.

  • Manage legal and regulatory risks pragmatically and effectively.

  • Lead the structuring of new tokenized investment products.

  • Prepare and review materials for SEC/FINRA compliance and file through the SEC’s EDGAR system.

  • Provide daily legal and business support for crypto-oriented teams.

  • Lead and manage transactional work including fundraising, fund management, and M&A.

Qualifications

  • 3–5 + years of law-firm or in-house experience within financial services, crypto, or at a regulator (SEC/FINRA/CFTC).

  • Strong understanding of U.S. securities laws and regulations.

  • JD degree + admission to the New York State Bar.

  • Excellent written and verbal communication; strong business judgment.

  • Adaptable, pragmatic, and eager to take ownership of diverse legal matters.

  • Based in or able to commute to NYC four days per week.

  • Self-starter with ambition and accountability.
